Please read these terms carefully. By using this website, accepting a Datahikes quotation, or engaging Datahikes for services, you agree to be bound by the terms set out below.

About These Terms

These Terms and Conditions govern two related things. First, your use of the Datahikes website at www.datahikes.com. Second, the professional services that Datahikes provides to clients, including Zoho implementation, consulting, licence supply, support and training. In these terms, Datahikes is referred to as we, us or Datahikes, and the person or organisation using the website or engaging our services is referred to as you or the Client.

Where you have signed a separate proposal, Scope of Work, service agreement or non disclosure agreement with us, that document takes precedence over these terms to the extent of any conflict. These terms apply to everything not covered by that document.

We may update these terms from time to time. The version published on our website on the date your engagement begins is the version that applies to that engagement.

Services We Provide

Datahikes is a Zoho Authorized Partner based in Chennai, India, serving clients in India and internationally. Our services include the following.

  • Implementation and consulting: Requirement gathering, solution design, configuration, customisation, Deluge scripting, data migration and integration across the Zoho product suite.
  • Licence supply: Supply of Zoho subscriptions where you choose to purchase through us as your partner, or assistance with purchasing directly from Zoho.
  • Support and maintenance: Post go live support, annual maintenance and retainer based administration, where separately agreed.
  • Training and enablement: Administrator and end user training sessions and supporting documentation.

The precise scope of any engagement, including deliverables, assumptions, exclusions and timelines, is set out in the applicable proposal or Scope of Work. Anything not written in that document is outside scope.

Quotations, Orders and Acceptance

Every quotation or proposal issued by Datahikes remains valid for thirty days from its date of issue unless a different validity period is stated on the document itself. After that period, pricing, effort estimates and availability are subject to revision.

An engagement is formed when you confirm acceptance of a quotation or Scope of Work in writing, by email or signature, or when you make payment of the advance. Confirmation constitutes acceptance of these terms together with the accepted document.

Fees, Payment and Taxes

Fees for each engagement are stated in the applicable quotation or Scope of Work. Unless that document states otherwise, the following applies.

  • Payment schedule: An advance is payable on confirmation of the engagement, with the balance payable against agreed milestones or on completion, as set out in the accepted document.
  • Payment period: Invoices are payable within seven days of the invoice date.
  • Taxes: All fees are exclusive of Goods and Services Tax and any other applicable taxes, duties or levies, which are charged additionally at the prevailing rate. For clients outside India, invoices are raised in accordance with applicable export of services rules.
  • Currency and charges: International invoices are raised in the currency stated in the quotation. Bank transfer charges, intermediary bank charges and currency conversion costs are borne by the Client.
  • Late payment: We do not levy interest or late payment fees. We may, however, pause work on an engagement where an invoice remains unpaid beyond its due date.

Licence fees are separate

Zoho subscription and licence fees are separate from Datahikes service fees. Licence pricing, renewal dates and any Zoho promotional terms are set by Zoho Corporation and may change at Zoho's discretion.

Zoho Licences and Third Party Software

Where you purchase Zoho licences through Datahikes, we act as an authorised reseller. Where you purchase directly from Zoho, your subscription contract is with Zoho Corporation and we have no role in it beyond advising on the correct edition and user count.

In either case, your use of Zoho products is governed by Zoho Corporation terms of service, privacy policy and licence agreement. Zoho owns the platform, controls its features, release schedule, pricing and availability, and may change them at any time. Datahikes is an independent partner and is not an agent of Zoho Corporation.

Zoho licence fees are non refundable once a subscription has been purchased or renewed, in line with Zoho policy. The same applies to any third party application, marketplace extension or connector purchased on your behalf at your request.

Client Responsibilities

Timely delivery depends on cooperation from your side. You agree to provide the following.

  • Information and access: Requirement details, sample data, system credentials, administrator access and any third party access needed to complete the work.
  • A nominated point of contact: A single person authorised to give clarifications, approve designs and sign off deliverables.
  • Timely review and sign off: Feedback and approval on deliverables submitted for review within the review period agreed in the Scope of Work.
  • Data accuracy: Responsibility for the accuracy, completeness and legality of any data provided to us for migration or processing.

Where delays are caused by pending information, access or approvals from your side, project timelines shift accordingly and we are not responsible for the resulting schedule impact.

Change Requests

Any requirement raised after the Scope of Work has been accepted, or any change to an agreed requirement, is treated as a change request. On receiving a change request we assess the effort involved and share a written estimate covering additional cost and timeline impact. Work on the change begins only after you approve that estimate in writing.

Small clarifications and minor adjustments within the agreed scope are handled as part of the engagement at no additional cost.

Delivery, Testing and Sign Off

Deliverables are submitted for your review at the points set out in the Scope of Work. You are expected to test each deliverable against the agreed requirements and either confirm acceptance or report defects within the review period. Where no response is received within that period, the deliverable is treated as accepted and the engagement moves to the next stage.

Defects reported after sign off that arise from our configuration or scripting are corrected at no additional cost within the support period stated in the Scope of Work. Issues arising from Zoho platform behaviour, third party applications, changes made by your team, or requirements not included in the agreed scope, are handled as change requests.

Cancellation and Refunds

You may cancel an engagement at any time by notifying us in writing. Refunds are handled as follows.

Cancelled before work has started

The advance paid to Datahikes is refunded in full.

Cancelled after work has started

We invoice for the work completed up to the date of cancellation and refund the balance of the advance.

Zoho licences already purchased

Non refundable, in line with Zoho Corporation policy.

Retainer or support contracts

Cancelled with written notice as stated in the applicable agreement. Fees for the current period remain payable.

Refunds are processed to the original source of payment within a reasonable period after the cancellation and the completed work statement are confirmed.

Datahikes may terminate an engagement where invoices remain unpaid, where required cooperation is not forthcoming for an extended period, or where continuing the work would breach applicable law. In such cases fees for work completed remain payable.

Confidentiality

Both parties treat information shared during an engagement as confidential and use it only for the purpose of delivering or receiving the services. Where you require a formal confidentiality arrangement, we are happy to sign a non disclosure agreement, and that agreement then governs how confidential information is handled by both sides.

We do not share client requirement documents, data or configuration details with any other client. We may reference the fact of an engagement in our credentials only where you have agreed to it.

Intellectual Property

On full payment of the agreed fees, the configuration, custom scripts, reports and documentation created specifically for you under an engagement are yours to use within your Zoho environment. Datahikes retains ownership of its own pre existing methods, templates, frameworks, tools and reusable components, and remains free to use its general knowledge, skill and experience on other engagements.

All content on the Datahikes website, including text, graphics, layout and branding, is owned by Datahikes and may not be copied, republished, scraped or reused without written permission. Zoho and related product names are trademarks of Zoho Corporation.

Data Protection

Where we handle personal data belonging to you or your customers in the course of an engagement, for example during data migration, we process it only on your instructions and only for the purpose of delivering the agreed services. You remain responsible for the lawful basis on which that data was collected and for any consents required.

We follow reasonable security practices in handling client data and comply with applicable Indian data protection law, including the Digital Personal Data Protection Act, 2023. Data hosted within Zoho applications is stored on Zoho infrastructure and is subject to Zoho security and privacy policies.

Our privacy policy explains what information we collect through the website and how it is used.

Warranties and Limitations

We perform our services with reasonable skill and care and in line with accepted professional practice. Beyond that, we do not guarantee any particular business outcome, revenue impact or performance result from the use of the software we implement.

We are not responsible for downtime, defects, data loss, feature changes, deprecations or pricing changes originating in the Zoho platform or any other third party service, nor for issues caused by changes made to the environment by your team or another vendor after handover.

Neither party is liable for indirect or consequential losses, including loss of profit, revenue, business opportunity or data. To the fullest extent permitted by law, the total liability of Datahikes in connection with any engagement is limited to the fees actually paid to Datahikes for that engagement.

Neither party is liable for delay or failure to perform caused by events beyond reasonable control, including natural events, network or infrastructure failure, government action or civil disruption.

Website Use

The Datahikes website is provided for general information about our services. Content on the website, including any pricing indication, comparison or guidance article, is offered in good faith but does not constitute a binding offer or professional advice for your specific situation.

You agree not to use the website in any way that damages it, interferes with its operation, attempts unauthorised access, or extracts content in bulk through automated means. Our website may link to external sites, including Zoho properties. We do not control those sites and are not responsible for their content.

When you submit an enquiry through a form on our website, you consent to us contacting you at the details provided in order to respond to that enquiry.

Governing Law and Disputes

These terms and any engagement between us are governed by the laws of India. The courts at Chennai, Tamil Nadu have exclusive jurisdiction over any dispute arising out of or in connection with them.

Before initiating any formal proceedings, both parties agree to attempt to resolve the matter through good faith discussion between authorised representatives.
